Al Gassim Investment Holding Company announces that the Board of Directors held its first meeting on 06/09/1447 H corresponding to 23/02/2026 G and issued the following resolutions:

First: Appointing Mr. Abdulaziz Abdullah Mohammad Alhumaid

as Chairman of the Board of Directors.

Second: Appointing Mr. Bader Hamad A Alkadi as Vice-Chairman of the Board of Directors.

Third: Formation of the Audit committee and appointing the following members:

1- Mr. Rasheed Sulaiman I Alrasheed, Committee Chairman.

2- Mr. Bader Hamad A Alkadi, committee member.

3- Mr. Waleed Khaled Ahmed Algosaibi, member from outside the Board.

4- Majid Ahmed Ibrahim Al Suwaigh, member from outside the Board.

Fourth: Formation of Remunerations and Nominations Committee and appointing the following members:

1- Mr. Khalid Abdulaziz Abdulrahman Albwardi, member from outside the Board. Committee Chairman.

2- Mr. Rasheed Sulaiman I Alrasheed, committee member.

3- Mr. Waleed Khaled Ahmed Algosaibi, member from outside the Board.

Fifth: Formation of the Investment Committee from the following members:

1- Mr. Abdulaziz Abdullah Mohammad Alhumaid,Committee Chairman

2- Dr. Faisal Abdulkarim Ali Al khamis, committee member

3- Mr. Bader Hamad A Alkadi, committee member.

Sixth: Appointing the Company's Representatives before the Capital Market Authority and the Saudi Exchange (Tadawul) for all purposes related to the companies' law, its implementing regulations, and other relevant regulations, as well as the rules for issuing securities and continuing obligations.
