Cash Capital Increase (Due to Merger) for Cairo Poultry (POUL.CA)

The Listing Committee held on 22/09/2026 has approved the following:-
• List the issued and paid-in capital increase from EGP 479,001,600 to EGP 1,789,351,397 with an increase of EGP 1,310,349,797 distributed over 1,789,351,397 shares. such increase is due to the merger of New Cairo Poultry company (merged company no. 1 – not listed on the EGX), Cairo Poultry slaughterhouses company (merged company no. 2 – not listed on the EGX), Wadi El Natroun Poultry Broilers Co. (merged company no. 3 – not listed on the EGX), Wadi El Natroun for Parent Chicken S.A.E. (merged company no. 4 – not listed on the EGX), and Cairo Feed Production Company (Merged Company No. 5 – not listed on the EGX) into Cairo Poultry (the merging company - listed in the EGX list).
• As a result of the merger, the issued and paid-in capital increases to EGP 1,789,351,397 after the amendment, distributed over 1,789,351,397 shares with a par value of EGP 1 per share representing the 17th issuance, to be listed in the Egyptian securities listing schedule "Shares", where the new shares of such increase shall be added to EGX database, as of the beginning of the trading session on Sunday 27 September, 2026.
• The company shall comply with the provisions of Article (10) of the Egyptian Exchange Listing and Delisting Rules and clause (1-bis) of Article (6), whereby the authorized capital shall not exceed five times the issued capital.
• The company shall commit to obtain the necessary licenses from the competent administrative authorities—specifically the Egyptian drug authority—prior to commencing the new activities added to its corporate purpose, and shall also comply with the provisions of law no. 121 of 1982 regarding the importers register.
